Aclarian Terms of Service

Welcome to Aclarian. These Terms of Service ("Terms") govern your access to and use of Aclarian LLC's website, software, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1. Use of the Services

Aclarian provides a cloud-based Enterprise Resource Planning (ERP) software platform ("Software") for government entities. By subscribing to or using the Software, you are granted a non-exclusive, non-transferable right to access and use the Software solely for internal operations. Unauthorized distribution, resale, or reverse engineering is strictly prohibited.

2. Subscription and Access

Your subscription grants access to the Production environment and a User Acceptance Testing (UAT) environment. Aclarian maintains, updates, and supports the Software infrastructure. Access and usage rights are subject to the terms in your service agreement.

3. Fees and Payment

3. Fees and Payment Subscription fees, implementation costs, and other applicable charges are outlined in your service agreement. Non-refundable mobilization fees must be paid prior to implementation. Annual software subscription fees are invoiced on or around the anniversary of the effective date.

4. Technical Support and Maintenance

Support includes software updates, issue resolution, and system maintenance. It does not include manual data entry correction, custom development, or onsite training unless otherwise contracted.

5. Outsourced Services

Aclarian offers optional consulting services including budget prep, audit support, bank reconciliation, and more. These services are contracted separately and governed by additional terms.

6. Data Security and Privacy

Aclarian will implement safeguards consistent with industry standards to protect your data. We will notify you of any data security incidents as required by law. For more details, see our Privacy Policy.

7. Termination

You may terminate your subscription by providing written notice 60 days prior to the renewal date. Early termination fees apply if terminated during the initial subscription period. Upon termination, you may elect to retain read-only access to retrieve your data at a reduced annual fee.

8. Intellectual Property

Aclarian retains ownership of all intellectual property in the Software. You retain ownership of your data input into the Software. Any unauthorized use or copying of the Software is prohibited.

9. Service Availability

Aclarian targets 100% uptime. Downtime due to scheduled maintenance or force majeure events is excluded from SLA credits. Credits may be issued for outages below the 99.5% annual threshold.

10. Limitations of Liability

Aclarian’s liability is limited to actual damages and shall not exceed fees paid in the 12 months prior to the event. We are not liable for indirect, incidental, or consequential damages.

11. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by the laws of the State of Florida. Any disputes will be resolved in Florida courts
